This Participant Agreement ("Agreement") is entered into between Local Computerized Services, LLC ("LCS") and the individual or entity ("Participant"). This Agreement governs participation in the SPOT platform (Selected Professional Opportunity Teams).

1. Purpose and Consideration

LCS provides structured business development guidance, mentoring, and strategic frameworks, which may include, but are not limited to assisting with: business planning, professional development, operational structuring, performance coaching, and general entrepreneurial guidance, as determined appropriate - based on the Participant's needs and progression. The nature, timing, and extent of such guidance shall be determined by LCS in its discretion.

In exchange, Participant agrees to compensate LCS through performance-based royalties derived from business revenue.

This Agreement reflects a direct exchange of value ("something for something").

2. Independent Contractor Status

Participant is an independent business owner and not an employee, partner, or agent of LCS.

Participant is at least 18 years of age and solely responsible for all business decisions, liabilities, and compliance obligations.

Participant maintains their own remote office which must be legally authorized to exist in your locality.

Participant must legally qualify to own a business in the USA.

Participant agrees to independently operate their business, fulfill all obligations associated with such operation, and perform all work required to develop and maintain their business.

3. SPOT Structure, Milestones, and Advancement

Participants begin at Level 1 and may advance only upon meeting defined milestones. This initiative requires that at least "three" separate new businesses will be formed and operated under the LCS direction.

You select your new businesses in industries that have the best opportunity for survival during economic downturns and other potential regressive trends in the marketplace.

Level 1: Legal formation, service definition, and initial revenue generation.

Level 2: Legal formation of a 2-3 member team and separate "second business" launch.

Level 3: Legal formation of a 3-5 member team and separate "third business" launch.

A business is considered successful after six (6) consecutive months of operational sustainability.

You may launch more that 3 separate legal businesses, but all will fall under this agreement since we are teaching you "how to".

Participants may have up to ninety (90) days of incubation prior (if needed) to formal entity creations.

4. Royalty Compensation and Reporting

Participant agrees to pay royalties based on Gross Monthly Sales:

Level 1 = 1%, Level 2 = 2%, Level 3 (and beyond) = 3%.

Level 3 businesses, and all subsequent businesses formed are subject to our 3% royalty requirement.

Gross Sales are defined as total revenue before expenses, supported by monthly financial reports.

Participant agrees to provide LCS with monthly P&L statements.

LCS reserves the right to review and verify financial reporting.

Annual royalty payments are capped at $50,000 per entity/businesses created.

5. Ownership and Control

Participant(s) retain 100% ownership of all businesses created.

LCS retains no ownership, equity, or voting rights.

6. Covered Ventures and Continuity

Royalty obligations begin upon execution of this Agreement and apply to all business developed from that point forward.

If you already have an existing business that LCS reviews and approves, you must rename that business immediately, or start a brand new one (to eliminate royalty compensation confusion).

These obligations continue regardless of business restructuring or evolution.

7. Sale, Transfer, or Exit Event

In the event of sale, merger, or transfer, Participant agrees to pay LCS:

(a) 10% of fair market value, OR

(b) $50,000, whichever is greater.

Valuation shall be determined by an independent licensed CPA or valuation firm.

8. Financial Integrity and Audit Rights

Participant must maintain accurate financial records.

LCS may request reasonable access to financial documentation to verify royalty calculations.

9. Disclaimers

LCS does not provide legal, accounting, tax, medical, or financial advice.

Participant is responsible for obtaining licensed professional advice where appropriate.

No guarantees of income or success are made.

10. Ethical and Non-Controversial Operations

SPOT is fully non-controversial (politics [including war related], religion, radical financial practices, and things like these). Such practices are often divisive and likely to harm your business prosperity in some way. You will not be selecting your new businesses in any field that are determined by LCS to be controversial.

LCS reserves the right to decline or terminate involvement in any business conflicting with our principles.

Situations requiring termination will be treated in a similar way as the sale of your company (reference "Sale, Transfer, or Exit" above).

11. Code of Conduct

Participant agrees to comply with the SPOT Code of Conduct, incorporated by reference.

12. Term and Termination

This Agreement becomes effective upon execution.

Either party may terminate with fourteen (14) days written notice.

Royalty obligations survive termination for all covered ventures.

13. Limitation of Liability

LCS shall not be liable for business outcomes, financial losses, or indirect damages.

Participant(s) assumes all business risks.

14. Amendments and Updates

LCS may update this Agreement periodically through written addendums.

Continued participation constitutes acceptance of such updates.

15. Governing Law, Venue & Fees

This Agreement shall be governed by the laws of the Commonwealth of Virginia.

In the event of any dispute arising from this Agreement, the prevailing party shall be entitled to recover reasonable attorney's fees and court costs.

16. Entire Agreement

This Agreement represents the entire understanding between the parties and supersedes prior discussions. By moving forward, you agree to all these terms and conditions.
